1. Acceptance of Terms

By accessing ndinomics.com and its sites (the “Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Ndinomics (the “Company”) — a parent entity for a family of software analytical tools including Arya and Axiom.

2. Description of Service

Arya is a software analytical tool for educational and informational purposes. It allows users to analyze their own portfolio allocations, run hypothetical Monte Carlo simulations, view portfolio diversification metrics (NDI-Diversified Rating), explore Roth conversion scenarios, and review per-asset analytical grades. Arya is not an investment advisor, broker-dealer, or money-management service. The Service does not custody, hold, or manage user funds.

3. Permitted Use

• Use the Service to analyze your own portfolio for personal financial planning.
• Provide truthful inputs (portfolio data, intended spending, tax assumptions).
• Comply with all applicable laws and regulations.

4. Prohibited Use

• Redistribute, resell, sublicense, or repackage outputs of the Service for commercial gain.
• Share your invitation code or account credentials with parties not registered to the Service.
• Scrape, mass-harvest, or use automated tools to extract data from the Service.
• Reverse-engineer, decompile, or attempt to extract proprietary methodology beyond what is published openly.
• Use the Service for any illegal activity, market manipulation, or fraudulent purpose.
• Hold yourself out to third parties as receiving investment advice from Arya or the Company.

5. Intellectual Property

The Company retains all rights to the Service including the Axiom engine, methodology, source code, and brand. Users retain all rights to their own portfolio data, account information, and outputs derived from their inputs. Portions of the Axiom code base are made available under the Apache 2.0 License via the Company's open-source repository; calibrated production model state and user data remain proprietary to the Company.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. The Company makes no representation that outputs are accurate, complete, or suitable for your specific situation. Past performance and statistical models do not guarantee future results. See the Disclaimer page for full disclaimers.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company's aggregate liability to you for any claim arising out of or relating to the Service is limited to the greater of (a) the total fees you paid to the Company in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). The Company is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, investment losses, or trading losses.

8. Indemnification

You agree to indemnify and hold the Company harmless from any claims arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your investment decisions or trading activity. The Company never recommends specific trades; outputs of the Service are tools you operate yourself.

9. Termination

The Company may suspend or terminate your access for breach of these Terms, abuse, or fraudulent activity. You may delete your account at any time by contacting the Company.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California. Any dispute arising under these Terms shall be resolved through binding arbitration administered by JAMS in San Jose, California, except that either party may seek equitable relief in a court of competent jurisdiction. You waive any right to a jury trial or class action.

11. Changes to Terms

The Company may update these Terms from time to time. Material changes will be communicated by email to registered users and reflected by an updated “Last updated” date above. Continued use after changes constitutes acceptance.
